Introduction
Welcome to AltonexGlobal.com, a business-to-business (B2B) wholesale marketplace operated by ALTONEX Global Trading F.Z.E, a company registered under Commercial Registration Number 52340 in the Ajman Free Zone, United Arab Emirates.
AltonexGlobal.com connects verified suppliers and buyers in the lubricants, automotive parts, and heavy equipment sectors. The Platform facilitates trade introductions, product discovery, and transaction processing between independent business parties. AltonexGlobal.com acts as an intermediary only and does not manufacture, own, warehouse, or ship any products listed on the Platform.
Important: These Terms and Conditions (“Terms”) govern your access to and use of the Platform, including all features, tools, subscription services, and communications offered through AltonexGlobal.com. These Terms are effective as of March 24, 2026.
By registering an account, accessing the Platform, or completing any transaction through AltonexGlobal.com, you acknowledge that you have read, understood, and agree to be bound by these Terms in full. If you do not agree to these Terms, you must immediately cease use of the Platform.
These Terms apply to all users, including buyers, vendors/suppliers, and any other party accessing the Platform in any capacity.

Definitions
The following terms have the meanings set out below wherever they appear in these Terms and Conditions:
- “Platform”
- Refers to the AltonexGlobal.com website, marketplace infrastructure, vendor dashboard, buyer portal, and all associated tools, services, and communications operated by ALTONEX Global Trading F.Z.E.
- “Vendor” / “Supplier”
- Any registered business entity that creates a vendor account on the Platform to list products, respond to inquiries, and complete sales transactions with buyers.
- “Buyer”
- Any registered business entity that accesses the Platform to discover products, contact suppliers, place orders, or complete purchase transactions.
- “Listing”
- A product entry published by a Vendor on the Platform, including product specifications, pricing, availability, minimum order quantities, and associated media.
- “MOQ” (Minimum Order Quantity)
- The minimum number of units or minimum order value required by a Vendor to fulfill a wholesale purchase order, as specified in the product Listing.
- “RTS” (Ready to Ship)
- A product Listing type indicating that the item is available in finished inventory and can be dispatched within the stated lead time. RTS products support Add to Cart functionality and Escrow payment processing.
- “Wholesale Listing”
- A product Listing type for bulk or custom-manufactured orders that require direct negotiation between Buyer and Vendor. Wholesale Listings use Contact Supplier and Chat functionality rather than direct checkout.
- “Trade Assurance”
- A Buyer protection program offered through the Platform that holds payments in escrow and provides a structured claims and dispute resolution process for eligible RTS transactions.
- “Escrow”
- A payment arrangement whereby the Buyer’s funds are held by the Platform or an authorized payment intermediary and released to the Vendor only upon confirmation of order fulfillment conditions being met.
- “Subscription Plan”
- A paid or free annual membership tier that determines a Vendor’s listing capacity, visibility, and access to Platform features. Plans are offered at USD 0 (Free), USD 999, USD 2,999, and USD 7,999 per year.
- “Incoterms”
- International Commercial Terms published by the International Chamber of Commerce (ICC), which define the responsibilities of buyers and sellers in international trade transactions, including FOB, CIF, EXW, and DDP.
3
Account Registration
3.1 Eligibility
Registration on AltonexGlobal.com is restricted to legally incorporated business entities. Individual consumers are not permitted to register or transact on the Platform. By registering, you confirm that:
- You are acting on behalf of a registered business entity with valid legal standing.
- Your business is authorized to engage in international or domestic wholesale trade of the products you intend to buy or sell.
- You are at least 18 years of age and have authority to bind your organization to these Terms.
- Your business is not subject to any sanctions, trade restrictions, or legal prohibitions that would prevent lawful participation on the Platform.
3.2 Registration Requirements
All accounts require the submission of accurate and verifiable business information, including:
- Legal business name and trading name (if different)
- Country of registration and business registration number
- Primary contact name, email address, and telephone number
- Business category and product specialization
- Valid government-issued business license or equivalent documentation (required for Vendor accounts)
3.3 Verification
AltonexGlobal.com reserves the right to verify any registration information submitted. The Platform may request additional documentation at any time, including but not limited to trade licenses, certificates of incorporation, product certifications, or proof of export authorization. Failure to provide requested documentation may result in account suspension or termination.
3.4 Account Responsibility
You are solely responsible for:
- Maintaining the confidentiality and security of your account credentials.
- All activity conducted through your account, whether authorized by you or not.
- Notifying AltonexGlobal.com immediately at info@altonexglobal.com if you suspect unauthorized access to your account.
- Keeping all account information current and accurate at all times.
AltonexGlobal.com reserves the right to suspend or permanently terminate any account found to contain false, misleading, or unverifiable information.
4
Vendor Obligations
4.1 Listing Accuracy
Vendors are solely responsible for the accuracy, completeness, and legality of all product Listings published on the Platform. All Listings must include:
- Accurate product name, specifications, and technical data sheets where applicable.
- Correct pricing in USD, including applicable terms (FOB, CIF, EXW, or DDP).
- Accurate and confirmed Minimum Order Quantity (MOQ).
- Realistic lead times and availability status.
- Country of origin and manufacturing details.
- Relevant certifications, compliance markings, and quality standards applicable to the product.
4.2 Industry Certifications and Standards
Vendors listing lubricants, automotive chemicals, or industrial fluids must ensure that their products comply with applicable industry standards and that all certification claims are accurate and current. Applicable standards include, but are not limited to:
- API (American Petroleum Institute) classifications for engine oils and lubricants
- ACEA (Association des Constructeurs Européens d’Automobiles) sequences for European engine oils
- ISO 9001 quality management certification for manufacturing processes
- SAE (Society of Automotive Engineers) viscosity grades
- OEM approvals where claimed in Listings
Vendors must not claim certifications they do not hold. AltonexGlobal.com reserves the right to remove any Listing containing unverified or false certification claims.
4.3 Response Time
Response Requirement: Vendors are required to respond to buyer inquiries, RFQ submissions, and order-related communications within 48 hours on business days. Persistent failure to meet this response standard may result in reduced Listing visibility, account review, or suspension.
4.4 Order Fulfillment
Upon accepting an order, Vendors are obligated to:
- Fulfill the order in accordance with the agreed specifications, quantity, and delivery terms.
- Provide valid shipping documentation, commercial invoices, packing lists, and certificates of origin as required.
- For chemical and lubricant products, provide a current Safety Data Sheet (SDS/MSDS) prior to or at the time of shipment.
- Notify the Buyer promptly of any delays, stock shortages, or material changes to order fulfillment.
4.5 Compliance with Laws
Vendors are solely responsible for ensuring that their products, export activities, and business practices comply with all applicable laws and regulations in their country of operation, the destination country, and any applicable international trade regulations.

Buyer Obligations
5.1 Due Diligence
Buyers are responsible for conducting independent due diligence on any Vendor and product before committing to a purchase. AltonexGlobal.com provides Vendor verification indicators as a convenience tool only and does not guarantee the accuracy of Vendor-supplied information. Buyers should:
- Review product specifications, certifications, and Vendor profiles carefully before placing orders.
- Request product samples, third-party inspection reports, or additional documentation when appropriate for the order value or product type.
- Verify that the product complies with import regulations and product standards in the destination country.
5.2 Payment Commitment
Once a Buyer confirms an order or initiates an Escrow payment, they are committed to completing the transaction under the agreed terms. Unjustified payment cancellations or chargebacks may result in account suspension and potential liability for Vendor losses incurred.
5.3 Trade Terms Compliance
Buyers must honor the Incoterms, delivery terms, and payment terms negotiated and agreed upon with the Vendor. Buyers are responsible for:
- Arranging freight, insurance, and customs clearance as required under the agreed Incoterms.
- Paying all applicable import duties, taxes, and customs fees in the destination country.
- Providing accurate and timely shipping instructions where required by the trade terms.
5.4 Lawful Use
Buyers must ensure that products purchased through the Platform are used for lawful purposes only and are not resold or distributed in violation of any applicable laws, sanctions, or trade restrictions.
6
Payment Terms
6.1 Currency
All transactions on AltonexGlobal.com are denominated and processed in United States Dollars (USD). AltonexGlobal.com does not accept payments in any other currency through the Platform.
6.2 Escrow and Trade Assurance
For eligible RTS (Ready to Ship) transactions, the Platform offers Escrow-based payment processing through its Trade Assurance program. Under this arrangement:
- Buyer funds are held securely and not released to the Vendor until fulfillment conditions are met.
- Buyers may raise a dispute within the applicable window if goods are not received or do not match the agreed specifications.
- Funds are released to the Vendor upon Buyer confirmation of satisfactory receipt, or automatically upon expiry of the dispute window without a valid claim.
6.3 Wholesale Transactions
For Wholesale Listings, payment terms are negotiated directly between the Buyer and Vendor. AltonexGlobal.com is not a party to Wholesale transaction payment arrangements. Common payment methods used in Wholesale transactions include wire transfer (T/T), Letter of Credit (L/C), and documentary collections, subject to Vendor and Buyer agreement.
6.4 Vendor Subscription Plans
Vendor access to Platform features is governed by annual subscription plans. Current plan pricing is as follows:

Subscription fees are non-refundable unless otherwise stated in writing by AltonexGlobal.com. Plan features and pricing are subject to change with 30 days’ advance notice to existing subscribers.
6.5 Platform Fees
AltonexGlobal.com may charge transaction fees, commission rates, or service charges on certain order types. Applicable fees will be disclosed to the relevant party prior to transaction completion. AltonexGlobal.com reserves the right to introduce or modify platform fees with appropriate advance notice.
7
Shipping and Delivery
7.1 Shipping Responsibility
AltonexGlobal.com does not arrange, coordinate, or guarantee shipping or delivery for any transaction. All shipping and logistics arrangements are the sole responsibility of the Buyer and Vendor, consistent with the Incoterms agreed for the specific transaction.
7.2 Incoterms
The Platform supports international transactions conducted under the following Incoterms, as agreed between Buyer and Vendor:
- FOB (Free On Board): Vendor is responsible for delivery to the named port of shipment. Risk transfers to Buyer once goods are on board the vessel.
- CIF (Cost, Insurance, and Freight): Vendor arranges and pays for freight and insurance to the named destination port. Risk transfers to Buyer upon loading.
- EXW (Ex Works): Buyer assumes all responsibility from the Vendor’s premises. Maximum responsibility rests with the Buyer.
- DDP (Delivered Duty Paid): Vendor bears all costs and risks, including customs clearance and import duties, to the named destination.
The agreed Incoterm must be clearly specified in all order confirmations and contracts between Buyer and Vendor.
7.3 Safety Data Sheets (SDS/MSDS)
For all chemical products, lubricants, industrial fluids, and hazardous materials listed and sold through the Platform, Vendors are required to provide a current and compliant Safety Data Sheet (SDS or MSDS) to the Buyer. The SDS must:
- Comply with GHS (Globally Harmonized System) standards or applicable national regulations of the destination country.
- Be provided in English as a minimum, or in the language required by the destination country’s regulations.
- Be made available to the Buyer prior to or at the time of shipment.
Compliance Notice: Failure to provide required SDS documentation may constitute a material breach of the Vendor’s obligations under these Terms.
7.4 Customs and Import Compliance
Buyers are responsible for ensuring that imported goods comply with the customs regulations, import licensing requirements, and product standards of the destination country. AltonexGlobal.com accepts no liability for goods detained, seized, or refused at customs as a result of incomplete documentation or non-compliance.
8
Buyer Protection — Trade Assurance
8.1 Program Overview
Trade Assurance is AltonexGlobal.com’s Buyer protection program applicable to eligible RTS transactions processed through the Platform’s Escrow payment system. The program is designed to provide financial protection when Vendors fail to fulfill confirmed orders as agreed.
8.2 Coverage
Trade Assurance protection covers Buyers in the following circumstances:
- Vendor fails to ship goods within the confirmed lead time without notifying the Buyer or reaching a mutual agreement on an extension.
- Goods received are materially different from the product specifications stated in the Listing and confirmed order.
- Goods are confirmed lost in transit and the Vendor bears responsibility under the agreed Incoterms.
8.3 Claims Process
- Buyer must raise a dispute through the Platform’s Dispute Resolution portal within the applicable claims window following the scheduled delivery date or confirmation of non-conformity.
- Buyer must submit supporting documentation including order confirmation, photographic or video evidence of goods received (if applicable), and written description of the issue.
- AltonexGlobal.com will review the claim and contact both parties within 15 business days.
- If the claim is upheld, the Escrow funds will be returned to the Buyer in full or in part, as determined by the review outcome.
- If additional documentation is required, the review period may be extended by up to 10 additional business days.
8.4 Limitations
Trade Assurance does not apply to:
- Wholesale transactions conducted outside of the Escrow payment system.
- Disputes arising from Buyer-caused delays, incorrect shipping instructions, or failure to take delivery.
- Minor variations in product color, packaging, or appearance that do not affect product functionality or specification compliance.
- Disputes raised after the applicable claims window has expired.
- Transactions where the Buyer has already confirmed satisfactory receipt and Escrow funds have been released.
9
Dispute Resolution
9.1 Resolution Window
All disputes between Buyers and Vendors must be initiated through the Platform’s Dispute Resolution portal within 30 calendar days of the scheduled delivery date, or within 30 calendar days of the date the cause for dispute became known to the initiating party.
9.2 Review Process
- The disputing party submits a formal dispute through the Platform, providing all relevant documentation and evidence.
- AltonexGlobal.com notifies the opposing party and requests a response within 7 business days.
- AltonexGlobal.com conducts a review of all submitted evidence and communications within 15 business days of the dispute being formally lodged.
- AltonexGlobal.com issues a recommended resolution to both parties.
- If both parties accept the recommendation, the matter is closed and any Escrow funds are disbursed accordingly.
- If either party rejects the recommendation, the matter is escalated to formal arbitration.
9.3 Arbitration
Disputes that cannot be resolved through the Platform’s internal resolution process will be referred to binding arbitration under the rules of the Ajman Free Zone Authority or such other recognized arbitration body as AltonexGlobal.com may designate. The arbitration will be conducted in English and the seat of arbitration will be Ajman, UAE. The arbitrator’s decision will be final and binding on both parties.
9.4 AltonexGlobal.com’s Role
AltonexGlobal.com acts as a neutral facilitator in the dispute resolution process. The Platform’s recommendation does not constitute a legal ruling and does not impose liability on AltonexGlobal.com as a party to the transaction.
10
Refund Policy
10.1 Eligible Refunds
Refunds for RTS transactions processed through the Escrow/Trade Assurance system may be issued in the following circumstances:
- A Trade Assurance claim has been reviewed and upheld by AltonexGlobal.com.
- A Vendor cancels a confirmed order prior to shipment.
- A mutual agreement to cancel and refund is reached in writing between Buyer and Vendor.
10.2 Processing Time
Approved refunds will be processed within 7 to 14 business days of the refund being confirmed. Processing times may vary depending on the Buyer’s banking institution and payment method. AltonexGlobal.com is not responsible for delays caused by third-party payment processors or financial institutions.
10.3 Exclusions
The following are not eligible for refund:
- Annual Vendor subscription fees (non-refundable).
- Transactions where the Buyer has confirmed receipt and Escrow funds have been released to the Vendor.
- Wholesale transactions where payment was made directly between Buyer and Vendor outside of Platform Escrow.
- Refund requests submitted after the 30-day dispute window has expired without a prior dispute being raised.
- Situations where the Buyer’s refund claim arises from their own failure to comply with agreed trade terms.
10.4 Partial Refunds
In cases where goods are partially received, partially damaged, or partially non-conforming, AltonexGlobal.com may recommend a partial refund proportionate to the confirmed shortfall or defect. The final determination rests with the dispute resolution process.
11
Product Quality and Compliance
11.1 Vendor Responsibility
Vendors are solely and exclusively responsible for the quality, safety, regulatory compliance, and fitness for purpose of all products they list and sell on the Platform. AltonexGlobal.com does not inspect, test, or certify any product listed on the Platform.
11.2 Required Standards
Products listed on AltonexGlobal.com must comply with applicable international and industry standards relevant to their category. For lubricants and automotive chemicals, compliance with the following standards must be accurately represented in Listings:
- API (American Petroleum Institute) — engine oil service categories
- ACEA (European Automobile Manufacturers Association) — European oil sequences
- SAE J300 / SAE J306 — viscosity classification for engine oils and gear oils
- ISO 9001 — quality management systems for manufacturing
- OEM approvals — where claimed, must be verifiable and current
11.3 False Claims
Any Vendor found to be making false, exaggerated, or unverifiable quality or certification claims in their Listings will have the relevant Listings removed immediately. Repeated violations will result in account suspension. AltonexGlobal.com reserves the right to report suspected fraud or misrepresentation to relevant regulatory authorities.
11.4 Buyer Inspection Rights
Buyers are strongly encouraged to request third-party inspection or pre-shipment quality verification for high-value orders. AltonexGlobal.com supports the use of internationally recognized inspection bodies (such as SGS, Bureau Veritas, or Intertek) and recommends incorporating inspection clauses into purchase agreements for orders above USD 10,000.

Intellectual Property
12.1 Platform Content
All intellectual property rights in the AltonexGlobal.com Platform — including but not limited to the website design, brand identity, logo, trademarks, software, interface design, and original written content — are the exclusive property of ALTONEX Global Trading F.Z.E. No part of the Platform’s proprietary content may be copied, reproduced, distributed, or used without the express written permission of AltonexGlobal.com.
12.2 Vendor Listing Content
Vendors retain ownership of the original content they upload to the Platform, including product descriptions, images, technical documents, and brand assets. By publishing a Listing, Vendors grant AltonexGlobal.com a non-exclusive, royalty-free, worldwide license to display, reproduce, and distribute the Listing content for the purposes of operating and promoting the Platform.
12.3 Third-Party Trademarks
Vendors must not use third-party brand names, trademarks, logos, or OEM designations in Listings without holding the legal right to do so. Unauthorized use of third-party intellectual property in Listings — including claims of OEM compatibility, brand equivalency, or licensed manufacturing — is strictly prohibited and may constitute grounds for immediate account termination.
12.4 Reporting Infringement
If you believe that content on the Platform infringes your intellectual property rights, please submit a written notice to info@altonexglobal.com with full details of the claimed infringement, including identification of the protected work, the infringing content, and your contact information. AltonexGlobal.com will investigate and take appropriate action.

Limitation of Liability
13.1 Platform as Intermediary
Intermediary Notice: AltonexGlobal.com operates exclusively as a technology-enabled intermediary marketplace. The Platform does not manufacture, own, inspect, store, ship, or guarantee any product listed or sold through the Platform. All transactions are conducted between independent Buyers and Vendors, and AltonexGlobal.com is not a party to any contract of sale between them.
13.2 No Warranty on Products
AltonexGlobal.com makes no representation or warranty, express or implied, regarding:
- The quality, fitness for purpose, safety, or compliance of any product listed on the Platform.
- The accuracy or completeness of any Vendor-supplied product information, specifications, or certification claims.
- The financial standing, reliability, or performance record of any Vendor or Buyer registered on the Platform.
13.3 Limitation of Damages
To the maximum extent permitted by applicable law, AltonexGlobal.com’s total liability to any party arising from or related to the use of the Platform — whether in contract, tort, negligence, or otherwise — shall not exceed the total subscription fees or platform service fees paid by that party to AltonexGlobal.com in the 12 months preceding the event giving rise to the claim.
AltonexGlobal.com shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of business, loss of data, or loss of commercial opportunity, even if AltonexGlobal.com has been advised of the possibility of such damages.
13.4 Force Majeure
AltonexGlobal.com shall not be liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including but not limited to natural disasters, acts of war, government restrictions, sanctions, cyberattacks, or telecommunications failures.

Privacy
AltonexGlobal.com is committed to protecting the privacy and security of personal data collected through the Platform. The collection, use, storage, and processing of personal information submitted by users is governed by the AltonexGlobal.com Privacy Policy, which is incorporated into these Terms by reference.
By using the Platform, you consent to the collection and processing of your business and personal data as described in the Privacy Policy. You are encouraged to read the Privacy Policy in full before registering or transacting on the Platform.
AltonexGlobal.com complies with applicable data protection regulations and does not sell or rent user data to third parties for marketing purposes.

Prohibited Activities
The following activities are strictly prohibited on AltonexGlobal.com. Violation of any of these prohibitions may result in immediate account termination, removal of Listings, forfeiture of subscription fees, and reporting to relevant law enforcement or regulatory authorities:

Fraud and Misrepresentation: Providing false, misleading, or fabricated business information, product certifications, or compliance claims in any registration, Listing, or communication on the Platform.
✗
Counterfeit Products: Listing, promoting, or selling counterfeit, adulterated, or imitation products, including lubricants or automotive parts falsely presented under genuine brand names or certifications.
✗
Sanctions Violations: Engaging in transactions with individuals, entities, or countries subject to international sanctions administered by the United States (OFAC), the European Union, the United Nations, or the UAE government.
✗
Price Manipulation: Artificial inflation or deflation of product pricing, coordinated price-fixing with other Vendors, or any practice designed to manipulate market pricing on the Platform.
✗
Unauthorized Data Collection: Scraping, harvesting, or systematically collecting user data, Vendor information, or Platform content without express written permission from AltonexGlobal.com.
✗
System Interference: Attempting to hack, disable, overload, or otherwise impair the Platform’s technical infrastructure, security systems, or data integrity.
✗
Money Laundering: Using the Platform for any transaction intended to conceal the origin of illegally obtained funds or to facilitate financial crime.
✗
Prohibited Goods: Listing or transacting in products prohibited by UAE law, international trade regulations, or the destination country’s import laws.
✗
Spam and Unsolicited Communications: Sending unsolicited bulk communications, promotional messages, or spam to other Platform users through any Platform communication tool.
✗
Multiple Accounts: Creating duplicate or secondary accounts to circumvent account suspensions, bypass Platform policies, or manipulate Platform metrics.

Governing Law
16.1 Applicable Law
These Terms and Conditions, and any dispute or claim arising out of or in connection with them or their subject matter or formation, are governed by and construed in accordance with the laws of the United Arab Emirates, including applicable federal laws and the regulations of the Ajman Free Zone Authority.
16.2 Jurisdiction
Subject to the arbitration provisions in Section 9, the parties irrevocably submit to the exclusive jurisdiction of the courts of the Ajman Free Zone for the resolution of any dispute that is not subject to arbitration under these Terms.
16.3 International Users
Users accessing the Platform from outside the UAE acknowledge that their use of the Platform is subject to UAE law and that they are responsible for compliance with any additional local laws and regulations that apply to their specific jurisdiction and business activities.
17
Amendments
17.1 Right to Amend
AltonexGlobal.com reserves the right to modify, update, or replace these Terms and Conditions at any time, at its sole discretion. Amendments may reflect changes in Platform features, business model, legal requirements, or operational policies.
17.2 Notice of Changes
Material changes to these Terms will be communicated to registered users with a minimum of 30 calendar days’ advance notice via:
- Email notification to the registered email address on file.
- A prominent notice posted on the AltonexGlobal.com website.
- An in-platform notification to users upon login.
17.3 Acceptance of Amended Terms
Continued use of the Platform following the effective date of any amended Terms constitutes your acceptance of the updated Terms in full. If you do not agree with the amended Terms, you must cease using the Platform and may request account deactivation by contacting info@altonexglobal.com prior to the effective date of the changes.
17.4 Version History
The current version of these Terms supersedes all prior versions. Users are encouraged to review these Terms periodically. The effective date at the top of this document indicates when the current version became active.
